Terms of Service

Plain terms for a simple idea. These are the rules for businesses running placements, brands running campaigns, and everyone who uses Thankly.

01Agreement to these terms

These Terms of Service (“Terms”) are a binding agreement between you and Thankly (“Thankly”, “we”, “us”) and govern your use of our websites, applications, and services (the “Services”). By creating an account, running a Placement or Campaign, or otherwise using the Services, you agree to these Terms and to our Privacy Policy.

If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization, and “you” refers to both you and the organization. If you do not agree to these Terms, do not use the Services.

02Definitions

  • Business — an account holder that creates Placements to thank its customers and earn from eligible offer displays.
  • Brand — an account holder that funds Campaigns to show offers through Placements.
  • Customer — a person who scans a QR code or opens a link from a Placement and views offers. Customers do not need an account.
  • Placement — a Thankly QR code, link, or embed that a Business shares at a customer touchpoint, together with its audience and location settings.
  • Campaign — a Brand’s offer, budget, dates, and targeting settings.
  • Credits — prepaid balance a Brand adds to fund Campaigns.
  • Verified Display — a display of an offer that Thankly has determined meets its eligibility and verification requirements, as described in Section 6.

03Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Services. The Services are currently available to Businesses and Brands operating in Canada and the United States; availability in other countries may be added over time.

You are responsible for keeping your sign-in credentials confidential and for all activity under your account. Provide accurate information and keep it up to date. Notify us immediately at support@usethankly.com if you suspect unauthorized use of your account.

04Terms for Businesses

Placements

You may create Placements for touchpoints you legitimately control, such as your own packaging, receipts, invoices, order confirmations, emails, and website. You must not place Thankly codes or links on property or channels you are not authorized to use, or present a Placement in a misleading way.

Earnings

Businesses earn when an eligible offer receives a Verified Display through their Placement. Earnings rates vary by Campaign, region, and category, and are shown in your dashboard. Clicks or purchases by a Customer are not required for a Verified Display, but displays that do not meet eligibility requirements do not earn. Thankly does not guarantee any minimum volume of offers, displays, or earnings.

Payouts

Payouts are made through Stripe to the account you connect. You must complete Stripe’s onboarding and any identity or tax verification it requires. Payouts are subject to minimum thresholds and timing shown in the Services. We may withhold, delay, or reverse earnings that we reasonably determine result from invalid activity, breach of these Terms, or error.

Prohibited conduct

You must not generate or encourage artificial displays, scans, clicks, or acceptances, including through incentives, automation, or repeated self-scanning. Doing so is grounds for forfeiture of related earnings and termination.

05Terms for Brands

Campaigns and Credits

Campaigns are funded with prepaid Credits. Credits are deducted as Verified Displays occur, at the rate shown when you configure your Campaign. Thankly paces delivery across your selected dates but does not guarantee that a Campaign will spend its full budget or reach any particular number of displays, which depend on available Placements and traffic.

Credits are non-transferable and have no cash value except as required by law. Unused Credits remain in your balance for future Campaigns; requests to refund unused Credits are handled in accordance with the credit policy shown in the Services at the time of purchase.

Your offers

You are solely responsible for the content, accuracy, and legality of your offers and landing pages, including pricing, availability, terms, and redemption. You must honour every offer as presented for the stated period, comply with all applicable advertising, consumer protection, and privacy laws, and hold any licences your products or services require.

Offers must not be deceptive, discriminatory, or unsafe, and must not promote restricted categories that Thankly designates from time to time (for example, weapons, adult content, tobacco, or unlicensed gambling). Thankly may decline, pause, or remove any Campaign that it reasonably believes violates these Terms or reflects poorly on participating Businesses.

Licence to display

You grant Thankly a non-exclusive, royalty-free, worldwide licence to reproduce, display, and adapt your offer content, trademarks, and images as needed to run your Campaign and to show Businesses and prospective users examples of the kinds of offers on Thankly.

06Verified Displays and measurement

Thankly determines whether a display is a Verified Display using signals such as whether the offer was rendered in view, the session’s integrity, timing, device, and location consistency, and frequency controls. Displays identified as invalid, duplicated, automated, or otherwise ineligible are excluded from earnings and Credit deductions.

Thankly’s measurements, as shown in the Services, are the system of record for calculating earnings and Credit usage. We may update our verification methods over time to improve accuracy and protect the network. Reports are provided in aggregate and are for your internal use.

07Acceptable use

When using the Services you agree not to:

  • Violate any law or the rights of others, or use the Services for any unlawful purpose.
  • Attempt to access accounts, systems, or data you are not authorized to access.
  • Interfere with the Services, including by introducing malware or overloading infrastructure.
  • Scrape, copy, or reverse engineer the Services except as permitted by law.
  • Misrepresent your identity, business, or affiliation with Thankly.
  • Collect personal information from Customers through a Placement beyond what Thankly provides.

08Intellectual property

The Services, including software, designs, text, graphics, and the Thankly name and logo, are owned by Thankly or its licensors and protected by intellectual property laws. Subject to these Terms we grant you a limited, non-exclusive, non-transferable licence to use the Services for their intended purpose. You may use Thankly-provided QR codes, badges, and marketing materials only as supplied and in connection with active Placements.

You retain ownership of content you provide. Feedback you give us may be used without obligation to you.

09Payments, taxes, and third-party services

Payments and payouts are processed by Stripe and are subject to the Stripe Services Agreement. You authorize us to share information with Stripe as needed to process transactions. You are responsible for all taxes associated with your earnings or purchases, other than taxes on Thankly’s net income. Where required, we will collect and remit applicable sales taxes.

The Services may link to or integrate with third-party websites and services, including brand landing pages. We are not responsible for their content, policies, or practices.

10Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THANKLY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY CAMPAIGN WILL ACHIEVE PARTICULAR RESULTS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

11Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THANKLY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES. THANKLY’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO OR EARNED FROM THANKLY IN THE TWELVE MONTHS BEFORE THE CLAIM AND (B) ONE HUNDRED DOLLARS (USD $100).

12Indemnification

You agree to defend, indemnify, and hold harmless Thankly from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your content, your offers and their redemption, your Placements, your violation of these Terms or applicable law, or your infringement of any third-party right.

13Term and termination

You may close your account at any time from your settings or by contacting us. We may suspend or terminate your access if you breach these Terms, if required by law, or if we reasonably believe your use presents risk to Thankly, other users, or Customers. We may also discontinue the Services with reasonable notice.

On termination, active Campaigns stop, Placements are deactivated, and any earned and verified balance is paid out in the normal course, less amounts withheld under these Terms. Sections that by their nature should survive termination will survive.

14Governing law and disputes

These Terms are governed by the laws applicable in the jurisdiction where Thankly is organized, without regard to conflict of law principles, and any dispute will be brought in the courts of that jurisdiction, except that either party may seek injunctive relief in any competent court. Where local consumer protection law grants you non-waivable rights, those rights are not affected.

Before filing a claim, you agree to contact us at support@usethankly.com and make a good-faith effort to resolve the dispute informally for at least 30 days.

15Changes to these terms

We may update these Terms from time to time. We will post the revised Terms with a new effective date and, for material changes, notify account holders by email or in the Services in advance. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
